Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms.


3. Description of the Services

Scanotel is a messaging platform designed to help hotels connect with their guests. Our Services include, but are not limited to:

  • Integration with various third-party systems and service providers (such as Stripe, and AWS among others) where data is exchanged;
  • Tools to manage guest messaging and communications;
  • Account management and subscription services.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice.


4. Jurisdiction and Hosting

  • Jurisdiction: Scanotel is based in the United Kingdom and these Terms shall be governed by and construed in accordance with the laws of the United Kingdom.
  • Hosting and Data Processing: Our Services are hosted by Amazon Web Services (AWS) in the United States, and by using our Services, you acknowledge that data may be processed in the United States and other locations with different data protection laws.

5. Account Registration, Security, and Responsibility

5.1. Registration

To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed.

5.2. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach. We are not liable for any loss or damage arising from your failure to protect your account.

5.3. User Responsibility and Team Management

The account holder is responsible for all actions performed by users to whom they extend access to their team. You acknowledge that you are fully responsible for ensuring that all users under your account comply with these Terms.


6. Payment, Subscriptions, and Refunds

6.1. Payment and Billing

Some features of our Services require a paid subscription. By subscribing, you agree to pay all applicable fees and taxes associated with your account. We use third-party payment processors (such as Stripe) to handle payments securely.

6.2. Trial Period and Cancellations

  • Trial: All new users are entitled to a 31-day trial period which includes a limited number of messages.
  • Cancellation: You may cancel your subscription at any time via our billing portal. Cancellation is self-service, but please note that cancellation does not entitle you to a refund for the remainder of the current billing period.
  • Refunds: We do not provide any refunds. If you cancel your subscription, you will continue to have access to the Services until the end of the current billing period, with no refunds for any unused portion.

7. User Conduct and Prohibited Uses

You agree that you will not use our Services for any unlawful, harmful, or abusive purposes. Prohibited conduct includes, but is not limited to:

  • Sending messages that are inappropriate, harassing, or abusive;
  • Excessively sending messages (spam) or using our platform in any manner that could be considered abusive or disruptive;
  • Any activity that could negatively affect the integrity or performance of our Services.

We monitor for abusive behavior and reserve the right to suspend or terminate accounts that violate these policies, at our sole discretion.


8. Content and Messaging

8.1. User-Generated Content

Our Services allow you to send and receive messages to and from your guests. You are solely responsible for the content of the messages you send and for ensuring that your use of our Services complies with all applicable laws and regulations.

8.2. Disclaimers Regarding Content

Scanotel does not control, endorse, or guarantee the accuracy or appropriateness of any messages or other content transmitted via the Services. We are not responsible for any user-generated content, including messages sent or received by users. Abuse of our system—including the dissemination of inappropriate or harmful content—may result in immediate suspension or termination of your account.


9. Intellectual Property Rights

9.1. Ownership

All content, features, and functionality provided by the Services, including text, graphics, logos, and software, are the exclusive property of Scanotel or its licensors and are protected by applicable intellectual property laws.

9.2. Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes. You may not modify, reproduce, distribute, or create derivative works based on our content without our express written consent.

Our Services may integrate with or include links to third-party services and websites (e.g., Stripe, AWS). These third parties have their own terms and policies that govern their use. Scanotel is not responsible for and does not endorse any content or practices of third-party services. Your use of such services is at your own risk.


11. Disclaimers and Limitation of Liability

11.1. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Scanotel disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2. Limitation of Liability

In no event shall Scanotel, its affiliates, or its licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Services or inability to use the Services. Our total liability to you for any claims shall not exceed the amount you paid (if any) for accessing the Services during the twelve (12) months preceding the event giving rise to the claim.


12. Indemnification

You agree to defend, indemnify, and hold harmless Scanotel, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your access to or use of the Services;
  • Your violation of these Terms;
  • Your infringement or misappropriation of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

13.2. Dispute Resolution

Any disputes arising out of or relating to these Terms or your use of the Services shall be resolved in the following manner:

  • Negotiation: The parties will first attempt to resolve disputes through good-faith negotiations.
  • Arbitration: If a resolution cannot be reached through negotiation, disputes shall be submitted to binding arbitration under rules agreed upon by the parties, or if required by law, in the courts of the United Kingdom.

14. Termination

We reserve the right, in our sole discretion, to terminate or suspend your access to the Services at any time, with or without cause or notice, including if we determine that you have violated these Terms. Upon termination, your right to use the Services will immediately cease, and we may delete any data associated with your account.


15. Miscellaneous

  • Entire Agreement: These Terms, along with any policies or guidelines incorporated by reference, constitute the entire agreement between you and Scanotel regarding your use of the Services.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: No waiver of any term or condition of these Terms shall be deemed a continuing waiver of such term or any other term.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. Any attempt to do so without consent will be null and void.
